Practice Consultants, Incorporated provides the following to assist:
1.
Practice Information. You must feel comfortable with the
practice before you make such an important decision effecting the long
term. Tax returns, interim
income statements and balance sheets, equipment lists, etc. are important
for your review. In addition,
IPC will coordinate your initial conversations and meetings with the
Sellers in order to maintain confidentiality.
Any additional pertinent information requested by the Buyer, or
his/her legal and accounting counsel, will be provided upon request.
2.
Financing. Our special talents allow you to obtain
approvals. By working with
underwriters, our firm has gained experience that serves to assist you by
structuring the transaction properly. You cannot own the practice without
obtaining approval for the loan. Obtain
accurate information regarding the term of the loan, current interest
rates, documentation requirements, etc.
3.
Consulting. There
are a number of areas that will effect you, as owner, long after the
transaction has taken place that should be considered.
What form of entity will be established as of the closing?
Buying as a sole proprietor, Sub-S corporation, C corporation?
What are the pros and cons associated with each as it relates to
the transaction and present or future tax consequences?
How should the Buyer address HMO/PPO
and other billing programs? How
does the allocation of the purchase price effect the Buyer after the sale?
IPC provides consultation in order to address these and other
issues.
4.
Contractual Arrangements.
An archive of sample Letters of Intent, Real Estate Sales
Agreements, Stock Sale Agreements, Asset Sale Agreements, etc. are
available for you and your legal counsels use.
